Class VI Partners Represents Zivaro in Its Acquisition by Trace3

Class VI Partners (“Class VI”) is pleased to announce the acquisition of Zivaro, Inc. (“Zivaro” or the “Company”) by Trace3 (“Trace3”). The acquisition will allow for the creation of a new business vertical to be known as Trace3 Government (“T3G”), unlocking new expertise in government, critical infrastructure, and the public sector.

Greg Byles, CEO and Co-Founder of Zivaro, said, “We engaged Class VI’s Pathfinder team to initially prepare us to go to market, and then transitioned to Class VI’s Investment Bank to assist us throughout the process of selling our business. From the outset, Class VI set clear expectations, identified areas where we could improve, expertly navigated a competitive M&A process, and negotiated key terms on our behalf. Their strategic guidance and deep expertise facilitated a swift and successful transaction, resulting in a partnership that is the right fit for Zivaro. The Class VI team has become trusted advisors, and we greatly appreciate their approachable and composed demeanor throughout the entire process.”

“Deciding to sell your business is a significant step for any entrepreneur, and having a trustworthy investment banking partner is crucial. Our experience with Class VI Pathfinder prior to the sale was invaluable, providing us with insights into the clarity and effort required for effective documentation and a successful transaction. By understanding key valuation elements well in advance, we were able to strengthen our processes and documentation to support critical valuation factors. The Class VI Investment Banking team went above and beyond, working tirelessly to prioritize our best interests throughout the sale, and for that, I am deeply grateful.” said Glenn Smith, President and Co-Founder of Zivaro.

“Class VI has been fortunate to work with the Zivaro leadership team for several years, and we could not be happier with this outcome for both organizations. Zivaro built an incredible company, and it was truly empowering to see their dedication, focus, and hard work pay off in many ways. As we look ahead, we are excited about the Company’s continued growth in its new partnership with Trace3,” said Peter Bessone, Vice President for Class VI.

Founded in 1998 and headquartered in Denver, CO, Zivaro has built its reputation as an industry leader, delivering specialized solutions for its customers. The Company’s expertise spans software engineering, managed hybrid cloud, application modernization, platform and public sector system integration, and managed SIEM services, all supporting critical infrastructure markets and advancing our nation’s mission in the space and missile domains.

“Our acquisition by Trace3 enables our combined companies to leverage collective engineering, sales, and functional capabilities to create new opportunities for team members, improve technology strategy for our clients, and deliver greater value to our partners,” said Tom De Angelis, Zivaro Chief Revenue Officer. “We are thrilled to be part of the Trace3 team.”

“The joint value our clients will receive from Trace3’s integration of Zivaro promises to be significant,” said Trace3 CEO Rich Fennessy. “Integrating Zivaro’s public sector and critical infrastructure expertise into the Trace3 portfolio of end-to-end solutions will drive true business transformation for both Trace3 and Zivaro clients, as well as our collective partners.”
